National Vision Announces Secondary Offering of 10 Million Shares of Common Stock

DULUTH, Ga.—National Vision Holdings Inc. (NASDAQ:EYE) announced this week that certain of its stockholders, including affiliates of Kohlberg Kravis Roberts & Co. and private equity funds managed by Berkshire Partners LLC., intend to offer for sale in an underwritten secondary offering 10 million shares of common stock of National Vision. The move is pursuant to a registration statement filed by National Vision with the Securities and Exchange Commission (SEC). National Vision completed its initial public offering in October 2017, as VMAIL reported, and raised roughly $350 million via the stock offering.

In the planned secondary offering, the selling stockholders expect to grant the underwriters a 30-day option to purchase up to an additional 1.5 million shares of National Vision’s common stock. No shares are being sold by National Vision, according to the announcement. The selling stockholders will receive all of the proceeds from this offering. BofA Merrill Lynch, Citigroup, Goldman Sachs & Co., Jefferies and KKR Capital Markets are acting as joint book-running managers for the proposed offering, according to the announcement.

A registration statement, including a prospectus, which is preliminary and subject to completion, relating to these securities has been filed with the SEC, but has not yet become effective.
